Parsons Behle & Latimer is seeking an attorney with 10+ years of corporate experience to join the Corporate, Securities and Tax department in the Boise, Idaho office. Parsons is a regional law firm headquartered in Salt Lake City that has national expertise in numerous practice areas.The firm is at the forefront of the legal communities in Utah, Idaho, Montana, Nevada, Wyoming, and the Intermountain Region.

Requirements and Qualifications:

• Familiarity with a wide variety of transaction types (e.g., private company, stock purchase, asset purchase, cross-border,etc.)
• Extensive experience structuring, negotiating, and closing mergers, acquisitions, asset purchases, private equity purchases, loan transactions, joint ventures, and strategic alliances
• Experience managing due diligence, closings, regulatory filings, and post-acquisition integration
• Significant experience structuring and forming corporations, limited liability companies, partnerships, and other business arrangements
• Experience with respect to M&A, venture capital and commercial finance, particularly with respect to middle-market transactions
• Substantive experience with commercial and venture finance, including representation of debtors, private equity firms, investment and mezzanine funds, and commercial banks
• Strong communication skills and the ability to solve problems, execute and transfer knowledge, and coordinate the completion of projects by junior attorneys
• The desire to work on general corporate matters
• A portable book of business is preferred along with the desire to continue growing the attorneys practice
• Exceptional written and verbal communication skills
• Good judgment and adherence to high ethical standards
• Juris Doctor degree from an accredited law school
• Admitted to practice in Idaho or ability to be admitted by motion
